These Terms of Service ("Terms") govern your access to and use of Resello ("Resello", "we", "us", or "our"), an inventory management and accounting tool designed for online resellers (including sellers on platforms such as eBay, Vinted, Depop, Etsy, and similar marketplaces).
By accessing or using Resello, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. The Service
Resello provides tools to help resellers track inventory, purchases, sales, fees, profits, and related accounting information. The Service is provided for informational and organisational purposes only.
Resello does not provide tax, accounting, legal, or financial advice. You are solely responsible for complying with all applicable tax, accounting, and legal obligations.
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding contract to use Resello. By using the Service, you represent and warrant that you meet these requirements.
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate and complete information
- Keep your account information up to date
- Maintain the confidentiality of your login credentials
You are responsible for all activity that occurs under your account.
4. User Data & Content
4.1 Your Data
You retain ownership of all data you input into Resello, including inventory records, transaction data, and financial information ("User Data").
By using the Service, you grant Resello a limited, non-exclusive licence to store, process, and display your User Data solely for the purpose of operating and improving the Service.
4.2 Accuracy of Data
You are solely responsible for the accuracy, completeness, and correctness of your User Data. Resello is not responsible for errors arising from inaccurate or incomplete data.
5. Integrations with Third-Party Platforms
Resello may allow you to connect third-party platforms (such as marketplaces or payment providers). Resello is not responsible for:
- The availability or accuracy of third-party data
- Changes to third-party APIs or services
- Errors caused by third-party integrations
Your use of third-party services is governed by their own terms and policies.
6. Fees and Payments
Certain features of Resello may require payment. Pricing, billing cycles, and payment terms will be disclosed at the point of purchase.
Unless otherwise stated:
- Fees are non-refundable
- Prices may change with reasonable notice
Failure to pay may result in suspension or termination of your account.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Reverse engineer, copy, or resell the Service
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorised access to any systems or data
We reserve the right to suspend or terminate accounts that violate these Terms.
8. Suspension and Termination
We may suspend or terminate your access to Resello at any time if:
- You breach these Terms
- You fail to pay applicable fees
- We reasonably believe your use poses a risk to the Service or other users
You may stop using the Service at any time.
Upon termination, your right to access the Service will cease. We may delete your data in accordance with our data retention policies.
9. Availability and Changes
We aim to provide a reliable Service but do not guarantee uninterrupted availability. The Service is provided on an "as is" and "as available" basis.
We may modify, suspend, or discontinue any part of the Service at any time.
10. Disclaimers
To the fullest extent permitted by law:
- Resello makes no warranties, express or implied
- We do not guarantee that the Service will be error-free or meet your requirements
- We are not responsible for financial losses, missed profits, or tax liabilities arising from use of the Service
11. Limitation of Liability
To the maximum extent permitted by law, Resello shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.
Our total liability for any claim arising out of or relating to the Service shall not exceed the amount you paid to Resello in the 12 months preceding the claim.
12. Indemnity
You agree to indemnify and hold harmless Resello from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your breach of any applicable law or third-party rights
13. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect and use personal data.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
15. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
